Legal solutions designed around your organization and its needs: from governance and legal organization to business, trade and outsourcing.
Governance
Through a team of specialists, Alliances carries out all governance processes for the private and public sectors to the highest international standards applicable to the governed sector. Alliances also forms dedicated legal teams for due diligence, for mapping processes and requirements, and for review and audit, along with any other teams the governance process requires. Our team issues governance regulations that meet the requirements for converting family businesses and closed joint-stock companies for listing on the parallel market, as well as governance work in line with Capital Market Authority and Central Bank requirements, and for the non-profit sector in accordance with regulators' requirements, in a flexible way that can be updated as those instructions change.
Through our allies, we also provide specialized legal professionals to establish governance and compliance units, risk, remuneration and social responsibility committees, and other committees, departments and secretariats related to governance and its practical application.
Alliances also provides independent outsourcing services for the following:
- Board secretariats
- Board committees work
- Legal department services
Legal organization of entities
One of the highest standards of legal practice in organizations is achieving what is known as "preventive justice". This stage is the legal safety valve for organizations, as it aims to avoid legal problems from the outset. It resembles governance in its relationship with regulators, but differs in that it is limited to the organization's operations and its financial, production and sales cycles, as well as human resources and the like.
At Alliances, our team provides legal organization services by examining operations, assessing legal compliance in each process, and drawing up policies, procedures and operating manuals. This provides preventive legal protection against claims, preserves the organization's legal position and protects its assets from corruption and administrative laxity, gives it a strong foundation to move into governance if it wishes, and protects its time, effort, money, resources and gains from being shaken by individual errors.
Business and trade
Specialized legal products for investors, entrepreneurs and organizations at every stage.
Request this serviceOne of the goals of Saudi Vision 2030 is to attract foreign investment into the Kingdom and benefit from its industrial, knowledge and technological expertise in developing Saudi talent.
The Saudi regulator has therefore developed the regulatory environment to achieve this goal, which in turn has led many foreign investors to enter the Saudi market.
At Alliances, we recognize the importance of foreign investment as an enabler of the Vision, and we understand how unfamiliar the legal landscape can be for foreign investors who may not know the requirements for obtaining an investment license, activity-specific licenses and the regulatory requirements of the relevant authorities. Our team has therefore designed a complete product for foreign investors to help them enter the Saudi market smoothly and to protect their assets and property from loss, suspension, fines and penalties.
Entrepreneurship and startups are among the greatest economic drivers in any country, and have proven to be among the fastest-growing ventures. Founders and entrepreneurs have the vision and determination but may lack the legal experience and knowledge suited to their current and future needs. To avoid errors whose cost grows as these ventures expand, the Alliances team has designed a simplified, nominally priced program tailored to this segment that eases incorporation, financing and partnerships, with compact legal process templates for: management, finance, zakat and tax, human resources, supplier relations, distributors, production and potential partners.
Courts and notaries play an essential role in liquidating estates, by agreement or by compulsion, under normal circumstances and for movable assets in particular. But liquidating an estate can be far more complex than simply sorting and distributing it: it may be tied to outstanding debts, disputes, lost documents, or claims of gifts and ownership. Our estate liquidation team, with broad and long experience, knows how to handle each of these challenges and their possible paths, clearing the estate of any infringements and then liquidating it voluntarily or through the courts.
At the client's request, Alliances can also act as a negotiating mediator on the client's behalf to reach amicable solutions that preserve family ties, leading to individual or collective settlements between heirs.
Alliances is also qualified to deal with enforcement decisions and the Enforcement Support and Liquidation Center (Ensan) regarding estates and the obstacles that prevent heirs from obtaining their lawful rights through legal channels, supported by our allies: certified public accountants, judicial custodians and sales agents.
Bankruptcy is one of the natural exits in the life of a business. It does not necessarily mean the business failed to manage its obligations; under certain circumstances, it takes the bankruptcy route to protect its owners from the legal consequences of those circumstances under the applicable laws.
Bankruptcy cases differ according to the company's needs, as detailed in the Bankruptcy Law. Alliances has a dedicated team to study bankruptcy options, procedures and filing, and to structure them precisely in line with the law and the client's best interest, from advising on whether to pursue bankruptcy at all and choosing its type, through the practical steps involving the courts, creditors, judicial custody and the bankruptcy trustee, to court representation and completing all procedures with the relevant authorities.
Some organizations change their legal form as they develop, and the need for such changes has grown with the new Companies Law coming into force and the state's drive, through the National Center for Family Business, to encourage family businesses to go public. At Alliances, our experts provide every service from technical and legal advice to carrying out the procedures needed to convert from one legal form to another, meeting the requirements of the Capital Market Authority, the Ministry of Commerce and other authorities where needed, and preparing disclosures, reports and correspondence.
Beyond the usual licenses, some investments require special permits whose procedures and regulatory links differ from the traditional path of doing business, such as mining, fishing, maritime and aviation licenses, clearances for certain regulated materials, and service licenses. Without them, the activity cannot get started.
At Alliances, our team has the know-how to identify the required procedures and obtain these types of licenses in accordance with laws and instructions, liaising with the relevant authorities and completing everything needed.
Delays in collecting payments from debtors are a burden for many entities, diverting them from their core business to pursuing claims through the competent authorities and courts, often with confusion about which body has jurisdiction and what the best and shortest route to collection is.
Late collection of receivables can also disrupt an organization's financial cycle and weaken its financial position, hindering its expansion and plans and even threatening its survival. Alliances has not overlooked this: through its alliances, it has formed a team dedicated to providing this service with the highest professionalism, so the organization can stay focused on its core business.
Believing in its role in serving the non-profit sector, Alliances provides complete support for registering endowments (awqaf) of all kinds, proposing their boards and trustees, and offering the most successful models based on best practices, at reduced fees as a community contribution to spreading this form of charity.
With its long experience, Alliances also drafts wills and registers them with the Ministry of Justice, providing full advice to reach the wording best suited to the client's situation.
Outsourcing Services
We take on specialized legal and administrative work for you, efficiently, so you can focus on running your operations.
Board secretariat services
One of the operational burdens for organizations is having to form an internal team to handle board secretariat work despite the board's limited number of meetings. This requires hiring and paying qualified staff throughout the fiscal year even though they are needed only at specific, spaced-out times, and exposes organizations to confidentiality and conflict-of-interest issues.
Alliances therefore provides outsourced board secretariat services in line with governance requirements and the organization's expectations, delivered by experienced professionals who understand the work's needs and requirements, to high quality. This includes all the necessary technical solutions, such as holding meetings on our encrypted meeting platform, documenting the work and issuing minutes, following up on approvals, and sending copies to the relevant parties inside and outside the organization as directed by the client.
Board committees work
One of the challenges some organizations face is managing the work of committees formed by their boards, whether to implement governance codes or to strengthen internal administrative organization. Establishing these committees, selecting their members, setting their working mechanisms, and gathering historical information and market practices for similar activities is a major challenge for many organizations, especially those that have recently introduced them under their policies, or those linked to regulators with special requirements regarding confidentiality, integrity and avoiding conflicts of interest.
At Alliances, our team provides integrated services to meet this need, including:
- Managing committees as an outsourced provider
- Establishing and training committees within organizations (internal audit, remuneration and nominations, risk and compliance, credit, audit, asset management and investment, and community partnership committees)
- Recruiting qualified professionals to form these committees internally
- Periodically reviewing committee performance, reports and requirements
Legal department services
In most new organizations, and in some established ones, building the legal department is a concern for executive and senior management: how to form the legal department(s). The biggest challenge is the organization's lack of legal specialization and knowledge of how the law intersects with its business. Organizations also face the job instability that closely accompanies legal departments, given lawyers' high earnings, rising demand for them, and the opportunity to work independently.
Alliances has not overlooked this concern, and has developed a product to solve it: forming an outsourced legal department to carry out the work organizations need, which supports the stability and continuity of legal work and reduces the operational and financial burden on the organization.
Wealth preservation and management
"Wealth preservation and management" is one of the most important services offered by international law firms, yet it is almost non-existent as an integrated product in the Arab world. What led ALLIANCES to recognize this need is the amount of wealth lost through neglect in managing assets and failing to keep pace with legislative updates at every level, leaving it exposed to loss or disruption.
The "asset and wealth preservation" product is carefully tailored to each client's needs, and includes:
- Controlling, safekeeping and documenting title deeds, and applying updated procedures to preserve their validity
- Monitoring continued possession in accordance with applicable conditions, and conducting inspection visits to ensure the assets remain sound, continuous and productive
- Supervising subsidiary execution work (such as real estate asset managers, real estate offices, chartered accountants, operating investors, tenants, usufruct holders, franchisees, etc.)
- Assessing legal and investment risks
- Analyzing markets and drawing up investment plans
- Building credit relationships with relevant entities to maximize returns
- Preparing wealth for smooth division upon death
Contract and obligation follow-up
Studies show that a high percentage of projects fail during execution in fulfilling contractual obligations, the phase that follows contract finalization and precedes litigation, since the work of legal advisors and lawyers is usually confined to the phases before and after it. As a result, some organizations struggle with this phase as it gets lost between departments in disputes and buck-passing. At ALLIANCES, we offer an independent product that addresses this phase specifically: listing and scheduling obligations, prioritizing them and assigning them to the relevant internal departments, to connect the work and avoid fragmentation and justified or unjustified concessions during contractual relationships.
